How You’ll Make an Impact
The Paralegal will support the EMEA Legal Counsel and the legal team across the region, providing in-house legal services to the business in the EMEA region. Legal support covers a broad scope including notably but not limited to corporate secretary for all EMEA entities, Due Diligence, standard agreements for both commercial and procurement matters, compliance trainings. 

Responsibilities Include
Compliance:

Conduct, maintain and monitor 3rd party Due Diligences for EMEA. Conducting due diligence evaluations and reviews for 3rd parties in scope as per Valvoline Global policies.Elaborate and conduct due diligence trainings and guidelines to business and the customers (as needed)Draft any compliance statements upon request of ELCAssist the ELC and any other EMEA legal team members in maintain an effective compliance program including anti-corruption, bribery, trade compliance, conflict of interest, harassment etc.

Contracts:

Prepare and review all standards agreements for EMEA (non-disclosure agreements, distribution agreements, resellers agreements, supply agreements etc) based on the inputs from the business (pricelist, business plans etc). Make sure that annexures for Distribution agreements and others commercial agreements are accurate and in line with business expectations (notably the Distribution Business Plan)Support in drafting and reviewing any other agreements for EMEA including amendments and any other contractual documents that the ELC may request from time to time (such as GTCs, RFQ, RFI etc)Support the ELC and the other legal counsels in the EMEA region in proposing, preparing, reviewing and implementing templates agreements or documents for EMEA.

Legal Secretariat:

 Update and maintain files and databases of corporate, fiscal, and other business documentation related to EMEA legal entities.Update and maintain a contractual database for the EMEA region, liaising with business and key stakeholders to make sure that such database is always accurate and up to date and propose corrective actions if needed in coordination with the legal team members.Provide support in the preparation of any Shareholders, Board or Director decision, board of directors’ changes (appointment, removal etc) in EMEA and update any corporate documentation according to business needs and legal requirements.Assist in obtaining internal and regulatory approvals, submissions, etc., in accordance with legal regulations and company policies for EMEA.Take care about the signature or e-signature of all agreements or legal documents from the appropriate signatory authorities or delegation of authority person. Monitor the signature of the distribution agreements or any other documents, as the case may be.Being responsible to store and archive legal documents in paper and electronic form, where applicable.Processing and coding the lawyers’ invoices according to the Company processes and tools, after seeking approval from ELC.Checking and approving SAP requests for new sold to ship to customers or new ship to locations from existing customers (mainly distributors and resellers).

Other:

Have critical reviews and support the ELC to improve existing legal processes and systems to make sure the legal department is responding efficiency to business needs. Continuously assesses company operations to determine any legal risks.Facilitate, liaise, and consult with other target groups within and outside the EMEA region (legal, tax, insurance, accounting, treasury, communications, etc.) to secure business an mitigate risks exposure.Monitor any legislation and regulatory changes especially at the EU level, alert the EMEA legal team and propose appropriate actions.Gather information and analyze laws, statutes, decisions, legal texts, codes, and other documentation, make heads up, summary and presentation of such information as the case may be.Drive any company car as the case may before business travels purposes, use a company credit card in accordance with Company policies for business traves or any other business purposes, prepare and submit on time the related expenses report via the appropriate Company processes or tools.

What You’ll Need

Bachelor’s degree (LLB) – preferred, not required 

What Will Set You Apart

  • Experience in corporate secretary for entities in various jurisdictions would be highly appreciated
  • Legal ops experience would be appreciated
  • Exposure to corporate legal department and/or in house attorneys
  • Preferred having already a first successful experience as paralegal or legal assistant.
  • Proven track record of working in positions where accuracy, structured and documented working, prioritizing has been key.
