Valvoline Global Operations Headquarters is located in Lexington, KY. We are open to candidates working in a remote capacity but willing to visit HQs as needed.
How You’ll Make An Impact
The Senior Counsel (M&A) role will provide expert legal guidance and support throughout all stages of the mergers and acquisitions process. This role will work cross functionally including leadership and external legal counsel to ensure compliance with applicable laws and regulations while executing successful transactions.
In this role, you will be responsible for:
- Providing expert legal advice and guidance on all aspects of the mergers and acquisitions process, or other corporate strategic transactions, including due diligence, deal structuring, and supporting closing transactions and post-closing integration. Conducts comprehensive due diligence reviews to identify and mitigate potential risks and liabilities, as well as opportunities for growth and value creation associated with target companies.
- Drafts, reviews, and negotiates a wide range of transaction agreements, such as purchase agreements, merger agreements, confidentiality agreements, drafting and negotiating term sheets, and other related legal documents. Develop and review corporate governance materials, including resolutions, minutes, and other materials for board meetings. Assisting in the development and implementation of corporate governance and compliance policies and procedures.
- Collaborates with other members of the legal team, as well as colleagues in other departments including the tax, and finance teams to ensure the successful execution of M&A transactions. Advising on a broad range of business and legal affairs matters.
- Participates in negotiations and communicates effectively with counterparties to achieve favorable outcomes for the company and manages outside legal advisors on transactional and related regulatory matters.
- Keeping abreast of relevant legal developments, industry trends, and best practices in corporate M&A law and sharing knowledge within the legal team and the organization
- Supports with other special corporate projects and such other activities as may be assigned by the Chief Legal Officer.
What You’ll Need
- A Juris Doctorate Degree from an accredited university is required.
- Minimum 5 years (10 preferred) post-bar experience as a Corporate Attorney with a focus on Mergers & Acquisition, preferably in a law firm or in-house legal department of a large corporation
- Strong expertise in corporate law, securities regulations, and contract law related to M&A.
- Proven track record of successfully handling complex M&A transactions from inception to closing.
- Exceptional negotiation, drafting, and analytical skills and keen attention to detail.
- Excellent communication (oral and written) and interpersonal skills with the ability to build relationships and influence stakeholders at all levels of the organization.
- Familiarity with international M&A transactions and cross-border regulations is preferred.
- Strong business acumen and the ability to understand the strategic objectives of the organization.
- Demonstrated ability to exercise sound judgment and make clear decisions in complex legal matters
- Professional knowledge and skills. Implements policies, procedures, and compliance standards and regulations
- Case/project management skills and demonstrates solid written, interpersonal, analytical, and application skills.
- Works as a contributory team member building positive relationships to efficiently execute legal requirements, and timely, accurate, legal services
- Collaborative team member with a high level of professionalism and outstanding business judgment
- Highly motivated, self-starter who takes initiative
- Ability to work well in fast-paced business and evolving legal environment and to manage multiple projects simultaneously
- Willingness to travel (up to 30-40% annaully and will require overnight travel)
