How You’ll Make an Impact
The Senior Corporate Paralegal supports the Legal Department at Valvoline Global Operations (VGO) by managing global corporate secretarial and entity governance responsibilities, legal operations activities, and legal systems and tools. This individual contributor role reports to the Associate General Counsel and serves as a key liaison between in-house attorneys, external counsel and other service providers, and internal stakeholders to ensure compliance with corporate governance standards, timely legal entity maintenance, and smooth legal department operations. The Senior Corporate Paralegal also contributes to the department’s efficiency and effectiveness through meticulous documentation, process improvement, and cross-functional coordination.

 

Responsibilities Include
•    Serve as the central coordinator for legal entity governance across VGO, working with regional in-house counsel and other internal stakeholders to ensure VGO group entities are compliant with local laws and internal governance standards and entity records are up to date.
•    Primary oversight for the maintenance and administration of the Global Entity Management System (GEMS), including entering and updating entity information, tracking directorship and officer changes, and uploading and indexing related documentation.
•    Manage state and local filings, and work with both internal and external resources for international filings, including formations, dissolutions, annual reports, director and officer changes, and registered agent updates.  Track and timely file annual reports with Secretaries of State for all US entities.
•    Prepare, maintain, and file board resolutions, consents, minutes, and other corporate records in accordance with legal and regulatory requirements, working with outside counsel as needed.
•    Coordinate the notarization, apostille, and legalization of documents as needed for international operations.
•    Serve as a liaison to board members and directors to facilitate execution of corporate governance documents and ensure timely delivery of materials.
•    Organize and maintain physical and digital corporate records, ensuring accessibility and compliance with document retention policies.
•    Monitor compliance with good corporate governance practices and escalate risks or gaps to supervising attorneys
•    Evolve our technology and innovation roadmap, and develop or enhance maturity in all key areas – eBilling, workflow and document automation, self-service, knowledge management, document management, matter management, eSignature, etc. Drive the adoption and usage of technology and AI tools across the Law Department.
•    Assist with implementation and optimization of legal department systems, including the Legal SharePoint Site, matter management, document repositories, Legal Tracker, Ironclad and AdobeSign.
•    Examine existing processes and workflows and capture opportunities to make things simpler and automated. 
•    Collaborate with the legal team to develop and maintain playbooks, templates, and other knowledge-sharing resources. 
•    Develop change management strategies to train, encourage, and support the staff to evolve our ways of working. 
•    Work with Finance, Accounting and Law Department stakeholders to develop and document process to manage the Legal Department Budget.
•    Serve as primary resource for the Department’s document retention and storage efforts in accordance with applicable company policy. Provide administrative and logistical support for legal initiatives, team meetings, and cross-functional projects.
•    Coordinate intake and tracking of legal requests and projects; help prioritize and assign tasks using project management tools or workflows.
•    Outside Counsel and Legal Vendor Management - Track legal budgets, outside counsel engagements, invoice approvals, and departmental expenses in coordination with legal operations.
•    Assist with internal process documentation, playbooks, knowledge databases, and dashboards to support legal department operations and transparency.
•    Support audits, data collection, and reporting for regulatory and internal compliance initiatives.
•    Conduct legal research and summarize findings as needed to support attorneys and corporate initiatives.
•    Maintain organized legal files and assist with the administration of litigation hold notices, contract templates, and other legal documents.
•    Provide administrative and logistical support for legal initiatives, team meetings, and cross-functional projects.
•    Perform other legal and compliance-related duties as assigned by the Associate General Counsel or Chief Legal Counsel.

 

What You’ll Need
•    Bachelor’s degree in law, paralegal studies, or a related field.
•    Minimum of 7 years of relevant paralegal experience, preferably in a corporate legal department or law firm.
•    Deep understanding of legal workflows.
•    Experience with entity management software (e.g., GEMS, CT Corp) and corporate governance processes.
•    Experience with records retention programs.
•    Familiarity with U.S. and international legal requirements for entity upkeep and compliance.
•    Strong organizational, project management, and multitasking skills with a demonstrated ability to meet deadlines in a fast-paced environment.
•    High attention to detail and structured work habits.
•    Excellent communication skills, both written and verbal.
•    Ability to work independently and collaboratively with cross-functional teams.
•    Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint), SharePoint, Adobe sign, Ironclad.
•    Discretion in handling confidential and sensitive matters.
•    Certification in legal operations, project management, or a related field a benefit. 
•    Experience in legal operations management, with proven track record of implementing technology solutions in a legal environment a benefit.
•    Attention to Detail – Ensures accuracy and completeness in all legal records and filings.
•    Collaboration & Influence – Builds relationships across functions and geographies to drive compliance and operational success.
•    Legal and Regulatory Acumen – Applies a strong understanding of corporate law and governance requirements to daily responsibilities.

•    This position is based in a climate-controlled corporate office environment and requires frequent use of standard office equipment, including computers, phones, and printers. The role involves extended periods of time in a stationary position (e.g., sitting at a desk) and occasional lifting or movement of materials up to 15 pounds.
