How You’ll Make An Impact

The Corporate Counsel - LATAM role manages Valvoline Global Operation’s (“VGO”) legal affairs in the LATAM region with accountability to drive the legal and compliance function. This role will provide key support to the LATAM business including but not limited to establishing close collaborative relationships and support to stakeholders (internal/external), overseeing and maintaining business, commercial and corporate matters, contract management, and maintenance. To participate and support the LATAM business leadership teams on various matters in supporting Valvoline’s growth in the region.  

 

Valvoline Global Operations Headquarters is located in Lexington, KY. We prefer local candidates willing to work a hybrid in-office schedule (3 days per week). 

 

In The Role, You Would Be Responsible For:

  • In conjunction with the (functional) lead attorneys, acts as the key liaison supporting the LATAM business and providing legal opinions and advice in areas, including contracts, antitrust, procurement, intellectual property, product liability, general litigation, employment matters, compliance with laws including trade regulation and VGO policies
  • Maintains sound relationships with the LATAM business across all VGO functions including Leadership, Commercial, Finance, Supply Chain, Procurement, Marketing, and Human Resources, and provides regular guidance and reporting on all legal matters to relevant stakeholders. Effective legal support/relationship management to the business’s key major accounts across the region.
  • Drafts, negotiates, and finalizes a broad range of commercial, procurement contracts, and other agreements including, but not limited to, distributor, supply agreements, marketing, sponsorship, and promotion agreements, as well as raw materials purchase agreements, product sale, employment, lease, and logistics services agreements.
  • Estimates risks in advance, predicts issues where possible; proactively looks for solutions and better practices to mitigate risk; and oversees complex legal matters with multiple stakeholders.
  • Assists with legal tasks and key projects for the region as directed by the Assistant General Counsel as well as on all various and general legal matters for the LATAM business and region. Overseeing secretarial and other corporate-related governance documentation of LATAM legal entities including its JV’s. Preparing resolutions and updating corporate documentation following business needs and legal requirements. Maintaining structure and records of intercompany service, license, and other agreements, in consultation with the applicable departments.
  • Monitors (and advises LATAM leadership team) of legislative and other legal developments that are relevant to the business; advises the business and Legal Department members accordingly handling litigation, risk mitigation, and control of civil and administrative claims. Providing advice to stakeholders on litigation matters.
  • Collaborates with the Compliance Lead in promoting and supporting all compliance/regulatory/ethics (including anti-corruption laws, trade regulations, competition law, and personal data protection) across the organization (including corporate office, manufacturing plants, and warehouses). Obtaining internal and regulatory approvals, filings, etc. following laws and company policies.
  • Managing 3rd party risk management for the LATAM region. Conducts due diligence evaluations and reviews for all 3rd parties in scope.

 

 

 

What You’ll Need

  • Juris Doctorate Degree / Bachelor’s degree (LLB) from an accredited university is required.
  • Minimum 5 years (10 preferred) post-admission experience as a lawyer in commercial and contractual law
