Valvoline Global Operations Headquarters is located in Lexington, KY. We prefer candidates willing to work an in-office work schedule (4 days per week). *This role will offer relocation assistance.
How You’ll Make An Impact
The Associate General Counsel supports the Chief Legal Officer in the development and formulation of the overall legal strategy while protecting Valvoline Global Operation’s (VGO) legal interest and maintaining its operation within the scope of the law. This role provides executive-level leadership and direction to a dedicated staff of managing attorneys and paraprofessionals to provide legal advice, counsel, interpretation, and implementation on a broad range of legal issues across the globe.
In this role, you will be responsible for:
- Assisting General Counsel with developing the legal department and function including budgeting and staffing; formulation, development, implementation, and interpretation of policies; advises and raises important legal matters and strategy options to the Chief Legal Officer.
- Providing counsel to the Company on a wide array of commercial, finance, compliance/regulatory, governance, and corporate legal matters, collaborating closely with the Chief Legal Officer Senior Leadership Team, and other departments within the company. Trusted advisor to the Company by providing guidance and counsel for accomplishing the Company’s overall business objectives.
- Managing, directing, and advising a group of lawyers and paraprofessionals (including outside counsel) for day-to-day legal matters of VGO including commercial, finance/treasury, regulatory, corporate, and ethics and compliance matters; establishes and monitors progress towards the achievement of set goals and objectives; manages the allocation of internal/external resources across law department.
- Collaborating with other high-level lawyers and contributing to the Company’s legal strategy.
- At the direction of the Chief Legal Officer prepares Board reports; sits on the Chief Legal Counsel’s leadership team; serves as interim Chief Legal Officer and Corporate Secretary for the Chief Legal Officer’s vacations, disability, etc.
- Conducts or oversees important or sensitive internal investigations.
- Oversees the law department's adoption, utilization, and change management of legal technologies.
- Other duties and responsibilities as determined by VGO from time to time in its sole discretion.
What You’ll Need
- Requires a Bachelor's degree, a Juris Doctorate (J.D.) degree from an accredited law school; and a license from a state bar (i.e., have passed at least one bar exam), or a relevant international equivalent.
- Minimum 10 years of relevant experience as a lawyer in an in-house company law department or law firm
- Minimum 5 years of experience managing attorneys and paraprofessionals
- Strong executive presence; demonstrated experience advising the board of directors and senior executives regarding governance and regulatory issues.
- High aptitude for technical, strategic, and managerial leadership
- Able to run legal department when necessary
- Demonstrates leadership and operational/legal judgment and strategy/financial oversight skills
- Experience forging relationships and advising leaders and key stakeholders across large-scale, global companies.
- Experience drafting complex transactional documents, especially customer, vendor, services, procurement and other business-to-business agreements.
- Broad, generalist legal knowledge that allows for expeditious problem identification and resolution and a practical, business-oriented approach to legal issues.
- Excellent judgment with the ability to make reasoned decisions and recommendations.
- Excellent communication, both written and oral, drafting and negotiation skills.
- Ability to establish and maintain harmonious working relationships with team members, staff, and external contacts, and to work effectively in a professional team environment
