Job Purpose
To serve as the Company Secretary for Valvoline Lubricants & Solutions India Private Limited, ensuring full statutory and secretarial compliance. The role is also responsible for providing day-to day legal operational support to the India entity, and as required, providing legal and secretarial assistance to other entities within the APAC region. This is a hybrid role based in Gurgaon, India.
How You Make an Impact
- Company Secretarial Management (India): serve as the Company Secretary, managing all board and committee meetings, preparing minutes, filing statutory returns with Registrar of Companies (ROC), and ensuring full compliance with the Companies Act, 2013, and other relevant regulations.
- Legal and Operational Support (India): provide robust legal support for the India entity, including reviewing and drafting a variety of agreements (e.g., vendor, service, confidentiality), and managing legal documentation.
- Compliance and Governance: proactively manage the corporate compliance calendar for the India entity and support license management and other regulatory filings.
- APAC Regional Support: as bandwidth permits, provide legal and secretarial assistance to other APAC entities, which may include supporting corporate governance matters, maintaining statutory records, coordinating with internal team members and external counsels.
- Stakeholder collaboration and business partnership: work collaboratively with internal stakeholders from the business and global legal team, providing timely and practical legal and administrative support to facilitate strategic objectives.
What You Bring to the Role
- Qualification: India Company Secretary – Associate Member of the Institute of Company Secretaries of India (ACS)
- Highly desirable: Bachelor of Laws (LL.B.) degree
- Experience: 3 to 5 years post-qualification experience in a similar role, preferably within a multinational corporation or reputable Indian corporate house
- Demonstrated hands-on experience in handling end-to-end company secretarial functions for an Indian private limited company
- Proven experience in providing legal support, including but not limited to reviewing and drafting contracts (e.g., NDAs, service agreements), managing corporate records, and conducting legal research and internal training sessions
Competencies Desired
- Good command over all aspects of legal and Company Secretary matters
- Strong computer skills including knowledge of Microsoft applications
- Well acquainted with applicable laws, Companies Act, guidelines
- Excellent communication, both written and oral, drafting and negotiation skills
- Driven for results ability to think critically and find solutions to problems
- Ability to establish and maintain harmonious working relationships with team members, staff and external contacts, and to work effectively in a professional team environment
- Effectively interact with personnel, management and administrative support plan, organize and carry out multiple, related activities
- Attend to details and follow through
- Highly organized and detail-oriented
- Ability to take direction and work independently
