Valvoline has a rewarding opportunity as a Legal Counsel, Rest of Asia (ROA) based in Bangkok, Thailand reporting directly to the Senior Counsel, APAC. This is a hybrid opportunity, 2 days remote per week.

 

This role for the ROA regional counsel is designed to provide essential legal support to the ROA business, with a primary focus on our operations in Thailand and other countries across the Rest of Asia markets. The responsibilities include, but are not limited to, contract management and maintenance, third-party risk management (due diligence), and collaborative support with stakeholders from both the Thailand business and the Rest of Asia region on various legal matters. You will oversee and maintain various business agreements, supply contracts, and other legal documents.

 

This position offers an excellent opportunity to build professional experience while gaining insights into the practical aspects of Thai law as well as regional laws applicable within the ROA markets. Additionally, this role will learn about all relevant functions of our business in a broader context.

 

The function also plays a vital role in supporting ROA's operational compliance and secretarial obligations. Furthermore, this role will assist in drafting, negotiating, and executing agreements for both our Thailand operations and those throughout the Rest of Asia region.

 

Candidates who possess strong reporting skills along with a practical, business-oriented approach to legal issues. A keen emphasis on organization, planning abilities, and attention to detail is highly valued in this role.

 

How You’ll Make An Impact

 

  • Managing and maintaining 3rd party risk management overview for Rest of Asia. Conducting due diligence evaluations and reviews for 3rd parties in scope
  • Managing the secretarial function for the regional entities such as Board Meetings, Annual General Meeting etc. comply statutorily, as well with the organization's governing document and its procedures. Including the preparation of notices, agendas and minutes. Maintaining an up-to-date file and database of secretarial and other corporate related governance documentation of the Thai legal entities. Preparing resolutions and updating corporate documentation in accordance with business needs and legal requirements. Maintaining structure and records of intercompany service, license and other agreements, in consultation with the applicable departments
  • Drafting, negotiating and finalizing a broad range of commercial contracts and other agreements (including, but not limited to: distributor, service and supply agreements, marketing, sponsorship and promotion agreements, and employment contracts for the ROA market
  • Advising ROA business management team of legal aspects of proposed decisions, such as, termination of contracts, reorganizations, employee consultation and other employment matters, competition law, intellectual property, product liability, compliance with laws and VGO policies
  • Provide a broad spectrum of legal support (not limited to) on general legal advice, employment law matters, general litigation, commercial contracts, competition, personal data etc.
  • Maintain sound relationships with the Thailand and Rest of Asia business across all functions including Commercial, Finance, Supply Chain, Marketing, Human Resources and and to provide regular reporting on all such matters to relevant stakeholders
  • Assisting with miscellaneous legal administration tasks as directed by the APAC Senior Counsel as well as on all various and general legal matters for the Thailand business and Rest of Asia region
  • Collaborates with the global center of excellence lawyers in Privacy, Compliance, Intellectual Property, and Employment to implement global initiatives while providing insights from a local legal perspective
  • Motivate team member to reach the full potential and achieve higher productivity together
  • Accomplishing ad-hoc requests, exploring opportunities to add value to work projects
  • Reviewing various business contracts per request by the manager

  • Internal: Thailand team, ROA team, including not limited to Regional Director, Country (Clusters) and Regional Managers, Marketing, Human Resources and Supply Chain; VLSIPL - Legal Analyst / Company Secretary; Legal Counsel - Australia Pacific and Lead Counsel - APAC

 

What You Will Need

 

  • Degree qualification from an accredited university
  • 8+ years of relevant experience
  • Bar certificate in any ROA jurisdiction
  • People management experience
  • Embodies the three virtues of an ideal team player: hungry, humble, and smart

 

What Will Set You Apart

 

  • Ability to speak in Thai, Mandarin, Bahasa Indonesia, or any other Asian language
  • Excellent command of all aspects of legal and company secretary matters
  • Should be able to formulate strategies to deal with legal, secretarial, and compliance-related matters
  • Well-acquainted with applicable laws, guidelines, and regulations
  • Excellent communication, both written and oral, including drafting and negotiation skills
